Terms of Service

1. About FocusRoom

FocusRoom is a study-planning, focus, productivity, and AI-assisted learning service operated by Saumya Shrestha in Lalitpur, Nepal (“FocusRoom,” “we,” “us,” or “our”). These Terms form an agreement between you and Saumya Shrestha.

2. Eligibility

You must be at least 13 years old to use FocusRoom. If you are under the age of legal majority where you live, you represent that your parent or legal guardian has reviewed and permitted your use of FocusRoom. If local law requires a higher minimum age or additional authorization, you may use FocusRoom only after meeting that requirement. You must be legally permitted to use the service where you live.

3. Accounts

You must provide accurate information, keep it current, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity through your account. You may not impersonate another person, create an account for someone without authority, share access in a way that compromises security, or use another person’s account without permission.

4. Acceptable use

You may use FocusRoom for lawful study, teaching, research, and personal academic organization. You may not:

• break the law or violate another person’s rights;
• access or test systems, accounts, or data without authorization;
• interfere with, overload, scrape, reverse engineer, or circumvent security or usage limits, except where applicable law expressly permits it;
• upload malware or harmful, deceptive, infringing, abusive, or illegal material;
• use automated means to extract data or operate accounts without written permission;
• use FocusRoom to cheat, misrepresent authorship, or violate an institution’s academic-integrity rules; or
• use outputs to make high-impact decisions about another person.

5. AI Study Assistant

The Study Assistant uses an NVIDIA API service. AI output may be inaccurate, incomplete, outdated, biased, or unsuitable for your needs. Verify important information using reliable sources. The assistant is a study aid, not a substitute for a teacher or qualified professional, and it does not provide medical, legal, financial, or other professional advice. You remain responsible for your submissions, your use of outputs, citations, and compliance with academic-integrity rules. Do not submit sensitive or confidential personal information.

6. Your content

You retain ownership of content you submit. You grant FocusRoom a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, format, and otherwise process that content only as needed to operate, secure, support, and improve the service. This license ends when your content is deleted, except for limited backup, legal, or security retention described in the Privacy Policy. You represent that you have the rights needed to submit your content.

7. FocusRoom materials

FocusRoom and its software, design, branding, and service content are owned by us or our licensors and protected by applicable laws. Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable right to use FocusRoom for its intended purpose. No other rights are granted.

8. Free service and future features

FocusRoom is currently provided free of charge. We may add, change, or remove features or offer paid features later. We will disclose applicable prices and obtain any required agreement before charging you. These Terms do not authorize us to charge you without notice.

9. Service changes and availability

We aim to provide a reliable service but do not guarantee uninterrupted, error-free, or permanent availability. We may modify, suspend, or discontinue all or part of FocusRoom for maintenance, security, legal, operational, or business reasons. Where reasonably possible, we will provide notice of material discontinuation. Keep independent copies of information that is important to you.

10. Suspension and termination

You may stop using FocusRoom and delete your account at any time. We may restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, or threatened the service or other users. When appropriate, we will provide notice and an opportunity to appeal by contacting us. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and dispute terms—will survive.

11. Disclaimers

To the fullest extent permitted by law, FocusRoom is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage. We do not guarantee academic results, grades, the accuracy of AI output, or that FocusRoom will meet every requirement. Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

12. Limitation of liability

To the fullest extent permitted by law, FocusRoom and Saumya Shrestha will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost data, profits, goodwill, opportunities, or academic outcomes arising from or related to FocusRoom. Our total liability for all claims relating to the service will not exceed NPR 10,000 or the amount you paid us in the 12 months before the event giving rise to the claim, whichever is greater. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

13. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless FocusRoom and Saumya Shrestha from third-party claims, losses, and reasonable costs arising from your unlawful use of the service, your content, or your material violation of these Terms. This does not require you to indemnify us for our own unlawful conduct.

14. Governing law and disputes

Before filing a formal claim, you and FocusRoom agree to try in good faith for 30 days to resolve the dispute by email. These Terms are governed by the laws of Nepal, without regard to conflict-of-law principles. Subject to any consumer rights that require a different forum, the courts of Lalitpur, Nepal will have exclusive jurisdiction. Nothing here prevents either party from seeking urgent injunctive relief or using an available small-claims or consumer process.

15. Changes to these Terms

We may revise these Terms to reflect changes to FocusRoom, law, or safety requirements. We will post revised Terms with a new date and give reasonable additional notice of material changes. Changes apply prospectively. If you do not agree to revised Terms, you must stop using FocusRoom and may delete your account.

16. General terms

If part of these Terms is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not transfer this agreement without our permission; we may transfer it as part of a reorganization, financing, merger, acquisition, or sale of the service. These Terms and the Privacy Policy are the entire agreement concerning FocusRoom unless we expressly agree otherwise in writing.
